Terms of Purchase


Section 1: Definitions

- “Policy”, “Policies” means the standard form content provided as part of the Product
- “Product” means the Policy and Supporting Materials provided by WorkingDocs to the Purchaser
- “Purchaser”, “You”, “Your” means the legal entity entering this Agreement (be it an individual, company or organisation), and includes anyone reasonably appearing to us to be acting with the necessary authority
- “Subject Matter Experts” means individuals or organisations with significant domain expertise
- “Supporting Materials” means the guidelines provided as part of the Product to support the implementation of the Policy
- “Third Party” means any legal entity not party to this Agreement
- "We”, “Us”, “Our” means WorkingDocs.com

Section 2: General

1. This Agreement outlines the terms and conditions in respect of your use of WorkingDocs’ websites and the products provided via them. When purchasing products from a WorkingDocs website, you are entering into a legal contract based upon the terms and conditions detailed herein.
2. By clicking on the check box below these terms, you are providing confirmation that you have read, understood and agree to these terms and conditions. If you do not understand and agree to these terms and conditions in their entirety, you must not proceed with your purchase. These terms and conditions do not affect your statutory rights.
3. We reserve the right to revise this Agreement at any time by publishing the amended terms on this website. You should therefore review the terms and conditions every time you make a purchase. Unless stated otherwise, the amended terms will be effective from the published date. This will not affect your rights or obligations in respect of any products purchased previously. This Agreement was last revised on 28 April 2003.

Section 3: Grant of Licence

4. WorkingDocs provides the Purchaser a non-exclusive, non-transferable licence to use the Product purchased for their own internal business purposes. The Purchaser may make as many copies of the Policy as required in order to review, modify, and implement within their organisation. The Purchaser can make as many copies of the Supporting Materials as required to support the implementation of the Policy provided it is not modified in any form.
5. This Grant of Licence is subject to the condition that the Product is used strictly in accordance with this Agreement, all applicable laws and regulations and for lawful purposes only.

Section 4: Restrictions

6. The Product may not be resold, licensed or made available to any Third Party without prior written permission.


Section 5: Disclaimer and Limitation of Liability

7. The Products supplied via our websites contain standard form Policies for use in the workplace that, once purchased can be customised to best suit the specific needs of your organisation. The Products may contain Supporting Materials which are provided only for information purposes. Neither the Policy or Supporting Materials constitute legal advice and no warranties are given expressly or otherwise with respect to the Product in its entirety.
8. We cannot guarantee the Products will be up to date, complete and accurate given the law is subject to statutory changes and constant amendments, in addition to technology advances which result in the release of new products/solutions.
9. The Product should not be used as a substitute for legal advice from both a qualified lawyer and Subject Matter Experts. There may be issues having a significant and disproportionate effect on your legal position which are not addressed by the Policy. Therefore, we recommend you obtain legal advice from a qualified lawyer before implementing a particular Policy to ensure it addresses your organisation’s needs in their entirety. If you implement any of our Policies without first obtaining legal advice and, where appropriate, advice from Subject Matter Experts, you do so entirely at your own risk.
10. We will not be liable in contract or negligence or otherwise for (i) loss of profits, business, reputation, anticipated savings, loss or corruption of data, loss or damage to property, claims of third parties, fines or penalties levied by any authority or any other loss or damage whether such losses are direct or indirect, however such direct or indirect losses arise.
11. Notwithstanding the above, our liability, including that of our affiliates and suppliers, to you in respect of losses or damages arising directly or indirectly irrespective of whether such loss or damage is based on contract, tort (including negligence) or otherwise, shall be limited, in relation to any one incident or series of related incidents, to 100% of the amount paid by you for the Product.

Section 6: Charges and Product Provision

12. Payment must be made in full in advance. The Purchaser will be granted access to the Product requested upon confirmation of payment.
13. Upon confirmation of payment, the Purchaser can access the product by downloading it from a password protected area of our website.

Section 7: Product Refunds
=====================
14. Should the Purchaser not be satisfied with the Product, a refund for 100% of the payment made will be arranged provided an email is sent to support@workingdocs.com within 60 days of the original purchase date.
15. Refunds will not be provided if notification is not made by email to the email address outlined herein or received more than 60 days from the purchase date.


Section 8: Intellectual Property

16. “WorkingDocs”, and all Internet domain names and logos used to promote our Products are the trade marks and trade names of WorkingDocs. Use of these is prohibited.
17. WorkingDocs are the exclusive owners of the Products marketed via our websites. All rights relating to these Products are reserved.

Section 9: Other Disclaimers

18. Our websites or Products may include hyperlinks to the websites of Third Parties. Such links are provided for your convenience only. We do not endorse any of these linked sites or accept any responsibility for their content.

Section 10: Post Sales Support
========================
19. We do not provide any after sales support in respect of the Policies and their implementation.
20. If you have any problems downloading the Policies or Supporting Materials you have purchased, please contact us via email, support@WorkingDocs.com, and we shall attempt to remedy the situation.

Section 11: Data Protection and Privacy

21. We respect the privacy of our Purchasers. By agreeing to this Agreement, you consent to us processing your information for the purposes of enabling you password protected access to download the Product and notifying you of other possible Products which may be of interest.
22. We will not disclose your details to any Third Party except as necessary to provide access to WorkingDocs’ Products.

Section 12: Termination or Suspension

23. WorkingDocs may suspend operation of its websites from time to time, either for maintenance or repairs.
24. We reserve the right to withdraw our websites from operation at any time at which time this Agreement will terminate. Any rights you may have in respect of Products already purchased will not be affected. The restrictions outlined in Section 4 will also remain in effect after termination of this Agreement.

Section: 14: Law and Jurisdiction

26. Your use of this site and its contents will be governed by the laws of England and Wales and you submit to the exclusive jurisdiction of the courts of England in respect of any legal disputes relating to this Agreement.

Section 15: Entire Agreement
=======================
27. This Agreement forms the entire agreement between you and WorkingDocs.com in relation to your use of this website and Products available through it.
